Ryland Group planning to offer US$250M aggregate principal amount of convertible senior notes due 2019 with proceeds to be used for general corporate purposes

WESTLAKE VILLAGE, California , May 14, 2013 (press release) – The Ryland Group, Inc. (NYSE: RYL) today announced its intention to offer, subject to market and other conditions, $250 million aggregate principal amount of its Convertible Senior Notes due 2019. The Company intends to grant the underwriters a 30-day option to purchase up to an additional $37.5 million aggregate principal amount of notes from the Company.

The notes will be convertible into shares of the Company's common stock. The notes will be guaranteed by substantially all of the Company's direct and indirect wholly owned homebuilding subsidiaries. The interest rate, conversion rate, and certain other terms of the offering will be determined at the time of pricing.

The Company intends to use the net proceeds from this offering for general corporate purposes, which may include land and other acquisitions to expand market opportunities.
