Toll Brothers prices offerings of US$350M of 4.000% senior notes due Dec. 31, 2018, and US$250M of 5.625% senior notes due Jan. 15, 2024

HORSHAM, Pennsylvania , November 13, 2013 (press release) – Toll Brothers, Inc. (the "Company") (NYSE:TOL), announced today that it has priced an underwritten public offering (the "Offering") of $350 million of 4.000% Senior Notes due December 31, 2018 (the "2018 Notes") and $250 million of 5.625% Senior Notes due January 15, 2024 (the "2024 Notes" and, together with the 2018 Notes, the "Notes") issued by Toll Brothers Finance Corp., a wholly-owned subsidiary. Settlement of the Notes is anticipated to occur on November 21, 2013, subject to customary closing conditions.

The 2018 Notes have a coupon of 4.000% and will pay interest semi-annually on June 30 and December 31, commencing June 30, 2014.

The 2024 Notes have a coupon of 5.625% and will pay interest semi-annually on January 15 and July 15, commencing July 15, 2014.

The Company expects to use the net proceeds from the Offering to finance in part its proposed acquisition of Shapell Industries, Inc. ("Shapell").
